Terms of Sale and License

These terms apply when you buy or use Holding OS, U.S. Edition. By completing a purchase, you agree to them.
1. Who we are
Holding OS is created and sold by W VERTEX LTDA, a limited liability company (sociedade limitada) organized under the laws of Brazil, registered under CNPJ 13.796.310/0001-06, with its registered office at Av. João Paulino Vieira Filho, 625, Sala 1504, Zona 01, Maringá, Paraná, 87020-015, Brazil ("W Vertex", "we", "us").

2. What you are buying
Holding OS, U.S. Edition is a template for Notion, designed to help families organize and manage family LLCs, family limited partnerships and similar entities. After checkout, you receive a link that lets you duplicate the template into your own Notion workspace.
You are buying a license to use the template, not ownership of it. You need your own Notion account. Notion is operated by Notion Labs, Inc., which is not affiliated with W Vertex.
3. Checkout, price and taxes
Purchases are processed by Gumroad, Inc., which acts as merchant of record. Gumroad collects your payment and any applicable sales tax, and its own terms and privacy policy apply to the checkout.
Prices are shown in U.S. dollars. When a launch price is offered, the page shows the date on which it ends.
4. Licenses
4.1 Standard License
The Standard License is included in every regular purchase. It allows you to use the template, in as many copies as you need, to organize and manage the entities, trusts and estates of your own family.
"Your own family" means you, your spouse or partner, your ancestors and descendants, and their spouses or partners, together with the entities, trusts and estates that any of them own or control. Your own attorney, CPA or other adviser may access your copy to help you.
4.2 Professional License
The Professional License is sold separately. It allows one firm to use the template to deliver services to clients.
"One firm" means a single law firm, accounting firm, family office or other professional practice, including its partners, employees and contractors acting on its behalf. Under this license, you may:
- use the template with an unlimited number of clients;
- create a separate copy for each client;
- transfer a client's copy to the client's own Notion workspace.
Each client may use its copy only within the limits of the Standard License, and may not redistribute it.
4.3 Restrictions that apply to both licenses
You may not:
- sell, resell, sublicense, rent or give away the template, in whole or in part, as a product;
- publish it on a template marketplace or anywhere it can be downloaded or duplicated by the public;
- use it to create a competing template or product;
- remove or alter the W Vertex credits and notices.
A version without W Vertex credits, carrying your firm's brand, requires a separate white-label agreement.
4.4 End of the license
If you breach these terms, your license ends automatically. If you receive a refund, your license also ends, and you must delete the copies you made.
5. Updates
Your purchase includes free updates to the edition you bought (Holding OS, U.S. Edition, version 1.x), including updates that reflect changes in the law covered by the template. When we publish an update, we make it available to you by email or through your Gumroad library.
We use reasonable efforts to update the template after material changes in the law it covers. We do not guarantee how quickly an update will follow a change, or that the content is current at any given moment.
New editions, additional modules or higher tiers may be sold separately.
6. 7-day money-back guarantee
If Holding OS isn't right for you, email support@wvertex.com.br within 7 days of your purchase, with your order number. We will refund the full amount through Gumroad, to your original payment method, with no questions asked.
This guarantee does not limit any right you have under the consumer protection law that applies to you.
7. Not legal, tax or accounting advice
Holding OS is reference material for organizing and managing family wealth. It is not legal, tax or accounting advice, and it is not a substitute for the advice of an attorney. Buying or using it does not create an attorney-client relationship or any other professional relationship with W Vertex or with anyone involved in creating it.
Document templates. They must be adapted and reviewed by an attorney licensed in your state before you sign or file them.
Law and currency. The content was prepared using U.S. federal law and published guidance current as of the date shown in the template. State rules vary. The worked example follows Texas LLC rules and may not reflect the law of your state.
8. Your information inside Notion
The information you enter into your copy of the template lives in your own Notion workspace. W Vertex has no access to it. Notion's own terms, privacy policy and security practices govern that data.
We recommend recording only the last four digits of Social Security numbers.
9. Intellectual property
The template, its structure, text, guides, document templates, images and the Holding OS name and logo belong to W Vertex and are protected by copyright and other laws. The licenses in section 4 are the only rights you receive.
"Notion" is a trademark of Notion Labs, Inc., and "Gumroad" is a trademark of Gumroad, Inc. Holding OS is not affiliated with, sponsored by or endorsed by either company.
10. Disclaimer of warranties
To the extent permitted by law, Holding OS is provided "as is" and "as available". We make no warranty that it will meet your needs, fit your family's situation or comply with the law of your jurisdiction.
Some jurisdictions do not allow the exclusion of certain warranties. In that case, those exclusions do not apply to you.
11. Limitation of liability
To the maximum extent permitted by law:
- Cap. W Vertex's total liability for any claim related to Holding OS is limited to the amount you paid for it.
- Excluded damages. W Vertex is not liable for indirect, incidental, special or consequential damages. This includes tax penalties, interest, missed deadlines, lost profits and loss of data.
Nothing in these terms limits liability that cannot be limited under the law that applies to you.
12. Governing law and disputes
These terms are governed by the laws of the Federative Republic of Brazil. This does not take away the protection of mandatory consumer laws of the place where you live.
Before starting any claim, please write to support@wvertex.com.br; we will try to resolve the matter within 30 days.
Disputes will be decided by the courts of Maringá, State of Paraná, Brazil, unless the mandatory law of your place of residence gives you the right to bring the claim there.
13. Changes to these terms
We may update these terms. The version in effect on the date of your purchase applies to that purchase.
