The problem

The legal structure may be airtight. The day-to-day rarely is.

If something happened to you tomorrow, could your family run the LLC?

  1. 01Operating agreements buried in email threads.
  2. 02A late Form 1065 can cost about $250 per member, for every month it's late, even when no tax is due.
  3. 03Family meetings with no agenda and no minutes.
  4. 04Distributions that don't match ownership, with no record of why.
  5. 05Only the founder knows where the EIN letter, the deeds and the insurance policies are.
  6. 06The constant feeling that something important is slipping through the cracks.
Inside the system

A look inside.

Every record carries the legal context. Here, the note on the founder's retained control under § 2036.

Why not a generic template?

Empty tables don't know the law.

Generic templates give you empty tables.

Holding OS builds the legal and tax logic into the fields: present-interest gifts of units, § 2036 control, pro rata distributions and state-by-state variables.

Generic templates stop at tracking.

Holding OS includes a Document Kit: minutes and written consent, an operating agreement checklist, a limited power of attorney, a distribution statement and an annual compliance checklist.

Generic templates are frozen the day you buy them.

Holding OS is updated when the law changes, at no charge for your edition.

What changed in 2025 and 2026

The cliff never came. The paperwork didn't go away.

Most content about family holding companies still sells the urgency of the “TCJA sunset.” Holding OS is written around what actually happened, and what still matters now.

Federal estate and gift tax

$15 million, permanent.

The One Big Beautiful Bill Act (July 4, 2025) replaced the scheduled 2026 cliff with a permanent $15 million exemption per individual ($30 million per couple with portability), indexed from 2027. Annual gift exclusion: $19,000 per recipient in 2026.

Beneficial ownership

BOI reporting was eliminated for U.S. companies.

FinCEN exempted U.S.-formed entities in March 2025 and made the exemption permanent in August 2026.

What still matters

The questions that didn't go away.

State estate and inheritance taxes: twelve states plus D.C. levy an estate tax, and five states levy an inheritance tax (Maryland levies both). Exemptions start as low as $1 million.

Income tax basis: gifted assets carry over basis; inherited assets get a step-up.

Present-interest rules for annual exclusion gifts of LLC units.

IRC § 2036 exposure when founders keep control.

Records that show the LLC is run as a separate business, not a family wallet.

Ships with the pages “What Changed in 2025 and 2026” and “Your State Variables,” including the 2026 state estate and inheritance tax table.

How we keep it accurate

Built by people who work in corporate law and wealth planning. The content is based on the Internal Revenue Code, Treasury regulations, FinCEN's beneficial ownership rules and state LLC statutes, with a Texas LLC as the worked example. Last reviewed September 2026. When the law changes, we update the template and email buyers the new version of their edition.

Do I need to know Notion?
No. The Start Here page walks you through the structure, the example and the order of setup. You'll be navigating within minutes.
Is this just a template to fill in?
No. It is a management system with educational content built in: roadmaps, a document kit and management guidance in every module.
What changed in 2025 and 2026, and why does it matter?
The $15 million federal exemption became permanent, BOI reporting was eliminated for U.S. companies, the 1099 threshold rose to $2,000 and several states changed their estate taxes. Plans and templates written around the 2026 “sunset” are out of date. Holding OS explains each change and what to do.
Does this replace an attorney or CPA?
No. Holding OS is a management and organization tool, not legal, tax or accounting advice. The document templates must be adapted and reviewed by an attorney licensed in your state before signing or filing.
My family is not in Texas. Does it still work?
Yes. Texas is the worked example. The “Your State Variables” page lists what differs by state (estate and inheritance tax, community property, charging order rules, annual reports, homestead) and where to check each item.
Does it work for any type of family holding company?
Yes: asset-holding LLCs, pure holding companies that control other entities, FLPs and mixed structures.
How do I receive the product?
Right after checkout you get the link to open the template and click Duplicate in your own Notion workspace.
Is my family's information secure?
Your copy lives in your own Notion workspace, and W Vertex has no access to it. Notion encrypts data at rest and in transit and holds a SOC 2 Type 2 report, but it does not use end-to-end encryption. For that reason, record only the last four digits of Social Security numbers, as the Smith example does.
Can I share it with my spouse, attorney or CPA?
Yes. Notion lets you share any page with view or edit access, so each person sees only what you choose.
Does it work on my phone?
Yes, through the Notion apps for iPhone, iPad and Android. Setting it up is easier on a computer.
How do I receive updates?
When we update Holding OS, for example after a change in the law, we email you the link to the new version of your edition at no charge.
Can I use it for more than one holding company?
Yes, for your own family's entities, as many as you need. Using Holding OS with clients, as a CPA, attorney or family office, requires the Professional License ($199), which covers one firm and unlimited clients. Get the Professional License
What if it's not for me?
7-day money-back guarantee: email support@wvertex.com.br and we refund 100%.
