Editable templates with fields to fill in and a checklist of next steps for each one.
Not a substitute for the advice of an attorney. Adapt and review each document with an attorney licensed in your state before signing or filing.
Generic templates give you empty tables.
Holding OS builds the legal and tax logic into the fields: present-interest gifts of units, § 2036 control, pro rata distributions and state-by-state variables.
Generic templates stop at tracking.
Holding OS includes a Document Kit: minutes and written consent, an operating agreement checklist, a limited power of attorney, a distribution statement and an annual compliance checklist.
Generic templates are frozen the day you buy them.
Holding OS is updated when the law changes, at no charge for your edition.
Most content about family holding companies still sells the urgency of the “TCJA sunset.” Holding OS is written around what actually happened, and what still matters now.
Federal estate and gift tax
The One Big Beautiful Bill Act (July 4, 2025) replaced the scheduled 2026 cliff with a permanent $15 million exemption per individual ($30 million per couple with portability), indexed from 2027. Annual gift exclusion: $19,000 per recipient in 2026.
Beneficial ownership
FinCEN exempted U.S.-formed entities in March 2025 and made the exemption permanent in August 2026.
What still matters
State estate and inheritance taxes: twelve states plus D.C. levy an estate tax, and five states levy an inheritance tax (Maryland levies both). Exemptions start as low as $1 million.
Income tax basis: gifted assets carry over basis; inherited assets get a step-up.
Present-interest rules for annual exclusion gifts of LLC units.
IRC § 2036 exposure when founders keep control.
Records that show the LLC is run as a separate business, not a family wallet.
Ships with the pages “What Changed in 2025 and 2026” and “Your State Variables,” including the 2026 state estate and inheritance tax table.
A ten-minute page that walks you through the structure, the example and the order of setup.
A complete worked example, consistent across every module, so you see how each table is meant to be used.
An explanation on every field of every table. No Notion experience required.
